Terms of Service

1. Agreement Scope
These Terms govern use of Cares.AI websites, applications, APIs, implementation services, and support services.
If you use the service for an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.
2. Authorized Use
The service is intended for lawful senior care operations and related administrative workflows.
You may not use the service for unlawful surveillance, discrimination, or prohibited processing activities.
3. Client Responsibilities
Clients are responsible for account governance, credential security, role assignment, and local workflow configuration.
Cares.AI supports operations but does not replace professional clinical judgment, emergency procedures, or regulatory accountability of facility operators.
4. U.S. and Quebec Compliance Context
Service controls are designed to support applicable U.S. and Quebec requirements, including HIPAA-aligned safeguards where applicable and Quebec privacy governance expectations under Law 25 contexts.
Each client remains responsible for determining its own legal obligations and implementing internal policies required by law.
5. Data Rights and License
Client data remains owned by the client or applicable data subject rights holders.
Client grants Cares.AI a limited license to host and process data solely to provide contracted services, maintain security, and satisfy legal obligations.
6. Confidentiality and Security
Both parties must protect confidential information using reasonable safeguards and use it only for authorized contract purposes.
Cares.AI applies layered security measures, including role-based access controls, logging, and technical safeguards appropriate for service scope.
7. Billing, Plans, and Service Changes
Plan limits, pricing, and commercial terms are defined in the applicable order form, statement of work, or master agreement.
We may update features to improve security, reliability, and compliance. Material reductions in contracted core functionality are communicated under the governing agreement.
8. Acceptable Use Restrictions
You agree not to disrupt or misuse the platform in ways that undermine service integrity or user safety.
- No unauthorized penetration testing without written approval
- No credential sharing that bypasses role controls
- No reverse engineering except where non-waivable law expressly permits
- No unlawful exports, sanctions violations, or prohibited-party use
9. Liability, Suspension, and Termination
Liability limits, disclaimers, and indemnity terms are governed by the signed commercial agreement, or these Terms where no separate agreement exists.
Cares.AI may suspend access for material security risk, legal non-compliance, or payment default, subject to applicable notice and contractual cure provisions.
Upon termination, data return and deletion processes follow contractual and legal retention requirements.
10. Governing Law and Contact
Unless superseded by a signed agreement, these Terms are governed by the laws of Quebec and applicable federal laws of Canada, without limiting mandatory rights under applicable U.S. law where required.
